The Director, Transactions will lead all aspects of the qualification, due diligence and negotiation process for assigned acquisitions, alliance, licensing and collaboration partnership deals. The role will be responsible for the creation and execution of deal terms. The Director, Transactions will direct cross-functional teams to ensure that deliverables across research & development, commercial, operations, legal, finance, tax, regulatory, intellectual property and risk dimensions are met within established timeframes. The role will also establish and maintain collaborative ongoing partner relationships and ensure smooth transition from deal execution through to integration phases. The role will report to Alexion’s Global Head of Business Development.
Job Duties & Responsibilities:
Leads the end-to-end qualification, due diligence and transaction process; ensuring effective and efficient collaboration throughout. Accountable for the following:
Directs multi-disciplinary teams including pre-clinical, clinical, regulatory, manufacturing, CMC, quality, and IP to orchestrate completion of transactional activities in a timely and efficient manner; ensures oversight of all elements of the cross-functional due diligence checklist.
Works closely with the Strategic Evaluation team to ensure that scientific evaluation is supported with appropriate cross-functional evaluation.
Captures input across legal, risk capital, tax, and finance teams to create qualitative and accurate due diligence reports and recommends qualification parameter of deals.
Ensures deals of highest priority are being advanced and executed.
Provides regular communication with stakeholders to keep abreast of progress towards completion of transaction activities; prepares and presents recommendations to Board to enable decision-making.
Develops processes and standards by which activities are managed and administered, ensuring compliance with all applicable laws and regulations.
Ensures transition from execution to integration processes.
Negotiates key terms and critical items, ensuring closure of deals within established timeframes; serves as lead negotiator. Accountable for the following:
Understands the nuances and tactics best used with each type of transaction and situation.
Acts as primary contact with assigned companies during the due diligence process, ensuring coordinated communications, addressing escalated issues and deliverables are met according to terms.
Works closely with the Strategic Evaluations team to provide assurance that relevant deals of highest priority are being advanced and executed.
Maintains key partner relationships and supports Alexion’s search objectives through new and existing relationships and representing Alexion externally. Accountable for the following:
Manages ongoing relationships with existing strategic alliances and other partners.
Contributes to building Alexion’s business development infrastructure and capabilities. Accountable for the following:
As a member of the business development team, establishes best practices and identifies opportunities for continuous improvements of processes and methodologies.
Validation and qualification of business deals.
Project management of due diligence and transaction activities.
Ongoing relationship management with key partners.
5-8 years’ experience in a related Business Development, Legal or Alliance Management role in the Pharma or Biotechnology industry.
Strong project management skills to keep cross functional work stream on track and deliver within established timeframes.
Excellent negotiating, problem solving, organizational skills.
Excellent communication skills both written and verbal.
Strong presentation skills to deliver recommendations to senior levels.
Excellent project management / leadership skills with demonstrated track record and ability to engage teams to work together towards common deadlines.
Must demonstrate an energy and enthusiasm which brings a positive approach to all challenges Sense of ethics and responsibility.
Ability to travel as required to meet business needs.
10 years’ experience in a Business Development role.
Ability to manage complex situations, understand interdependencies and understand trade-off risks.
Strong relationship building / networking skills.
